Supplier Terms and Conditions

1. Supplier Registration and Eligibility
To list services (hotels, vehicle rentals, tour guides, restaurants, or other travel-related offerings) on Ella Sri Lanka (“Platform”), you (“Supplier”, “you”) must register and be approved by the Platform operator. You must provide accurate business and contact information and maintain an active, valid account. You are responsible for ensuring that you have the legal right to offer the services you list and that you comply with all applicable laws, including licensing, tax, and consumer protection requirements.
2. Supplier Responsibilities
As a Supplier you agree to:
- Keep your listings accurate, up to date, and not misleading (including prices, availability, descriptions, and images).
- Respond to customer enquiries in a timely and professional manner.
- Honour the terms you offer to customers and comply with any agreements you enter into with them.
- Resolve disputes with customers directly; the Platform is not responsible for resolving such disputes.
3. Customer Communication Rules
When we forward enquiries or service requests to you, you must use the provided contact details only for the purpose of responding to that enquiry. You must not use customer data for unsolicited marketing, resale, or any purpose unrelated to the Platform without the customer’s consent. You must comply with applicable data protection and privacy laws when handling customer information.
4. Content and Image Ownership
You retain ownership of the content and images you upload to the Platform. By submitting content and images, you grant us a non-exclusive, royalty-free licence to use, display, and distribute them on the Platform and in related marketing for as long as your listing is active and for a reasonable period thereafter. You warrant that you have the right to grant this licence and that your content does not infringe any third-party rights (including intellectual property and privacy). We may remove or require you to change content that we consider inappropriate or infringing.
5. Prohibited Activities
You must not:
- List services you are not authorised to offer or that violate any law or third-party rights.
- Provide false or misleading information in listings or in communications with customers.
- Circumvent the Platform to avoid fees or to contact customers outside the Platform in bad faith.
- Use the Platform for spam, fraud, harassment, or any abusive or illegal conduct.
- Upload content that is defamatory, offensive, or that infringes intellectual property or privacy rights.
6. Account Suspension and Termination
We may suspend or terminate your supplier account and remove your listings if you breach these Terms, if we receive serious complaints, or if we reasonably believe that your use of the Platform poses a risk to users or to the Platform. We may also suspend or terminate for operational or legal reasons. Where practicable we will give you notice and an opportunity to remedy; we may act immediately where necessary. Upon termination, your licence to use the Platform ceases; provisions that by their nature should survive (e.g. liability, dispute resolution) will remain in effect.
7. Platform Liability Limitation
The Platform is provided “as is”. We do not guarantee uninterrupted or error-free operation. We are not liable for any loss or damage arising from your use of the Platform, your listings, your dealings with customers, or from the acts or omissions of customers or other third parties. Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount of fees (if any) you have paid to us in the twelve months preceding the claim, or one hundred US dollars (USD 100), whichever is less. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
